Charles Knowles posts on InvestorVillage about the Advanced Photonix proxy fight, and I make an appeal for your help

My Note: I am sharing Charles Knowles message below posted on InvestorVillage. I had previously sent Mr. Knowles $500.00 to help with the signicant legal expense he incurred, and I promised him more financial assistance yesterday, if the Advanced Photonix (API), Board seeks to sustain the denial of proxy vote 6, even though 11.9 million votes were cast in favor of giving shareholders owing 1% of the common stock a right to nominate a candidate for the Board of Directors and only 3.4 million votes were cast against it.  If you supported proxy issue 6, please consider donating money to help defray the legal expenses Charles incurred, and to sustain the fight for shareholders rights! Thank you for your help. I would rather spend my money buying shares of API, so lets hope the Board determines vote 6 was approved. Either way please consider helping Chuck recoup his costs incurred for all API shareholders.

It was an informative time at the annual share owners and shareholders meeting. 
We made a difference. 
Proposal #6 won overwhelmingly! 11.9 million for to 3.4 opposed 

The board can choose to let the proposal stand. Or they can choose to use the by-law which requires a majority of shares owned cast to adopt the mandate. 

The board can amend the by-laws by a majority of board members vote.They can call a special meeting 

The board should weigh in on this soon. 

It could save the company a lot of money if they choose the lower threshold. 
Do they want to please the share owners? 

They realize that it is not just Chuck Knowles that disagrees with them and they have a chance to show the voters that they get the message. 

I mean this vote difference is huge. If you take away the votes of the board for themselves---it is probably close to 13 to 2. 


I have already been messaged with more funds to pursue this than I received in total for the previous campaign. 

I suggest that the board and I meet and compromise ,not spend a lot of money on finding what delaware law thinks. 
The true majority of involved share owners have told you what they want. 

If you fight me then you are probably fighting the share owners. 


I would vote for Steve (you are too young to retire), Don (you are really involved with the company), Lance( they need a free attorney!) and Rob (Picometrics seems to me to be the major player in this company). 

Contact me and I will get together with my friends and we can make a deal. 

We, or at least 99.9% of us, are after the same goal. To be profitable and get rid dead weight. The lay offs were necessary. 

The share owners are willing to compromise but we don't want to wait another year.
